1.Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding electronic agreement under the Information Technology Act, 2000 between you ("User", "Customer", "you") and YourBill ("YourBill", "we", "our", "Company"), the operator of the YourBill platform at https://yourbill.in and the YourBill Android / iOS applications (collectively, the "Service").
By creating an account, signing in, or using any feature of the Service, you confirm that (a) you are at least 18 years old, (b) you have full legal authority to enter into this agreement on behalf of yourself or the business you represent, and (c) you accept these Terms in full. If you do not accept any part of these Terms, you must stop using the Service immediately.
We may revise these Terms at any time by publishing a new version on this page with an updated "Last revised" date. Your continued use of the Service after revision constitutes acceptance of the revised Terms.
2.Description of Service
YourBill is a Software-as-a-Service platform that enables Indian businesses to issue GST-compliant invoices, manage customers and products, record their bank account details for inclusion on invoices, generate financial and GSTR-1 reports, and access optional AI-assisted features such as an HSN/SAC code finder and GSTIN-to-business-name auto-fill.
The Service is designed to comply with the Central Goods and Services Tax Act, 2017 ("CGST Act"), the relevant Rules thereunder (in particular Rules 46, 49, 53, 59), the Integrated Goods and Services Tax Act, 2017 ("IGST Act"), and adjacent law applicable to electronic tax invoices in India. YourBill is a software tool — it is not a tax-advisory, audit, or chartered-accountancy service. You remain solely responsible for the accuracy, timeliness, and legality of every tax return, invoice, and financial record you generate using the Service.
3.Eligibility & Account
You may use the Service only if you are competent to contract under the Indian Contract Act, 1872 and not barred by any law from doing so. You must provide a valid email address, mobile number, full name, and (for any feature that uses GST data) a valid GSTIN that passes the GSTN mod-36 checksum validation.
Each individual must register with their own credentials. You are responsible for maintaining the confidentiality of your password and for every action taken under your account. Notify us at support@yourbill.in immediately if you suspect unauthorized access. We are not liable for losses caused by your failure to safeguard your credentials.
GSTIN uniqueness: A single GSTIN may be registered with only one YourBill account at a time. This is enforced both at the application layer and as a database constraint. Attempts to bypass this rule (using multiple emails, alternative spellings of the GSTIN, or otherwise) constitute a material breach of these Terms and may result in immediate account suspension without refund.
4.Subscription Plans, Free Period & Billing
When you create an account, your business is provisioned on the Starter plan with the first 30 calendar days free of charge. No payment instrument is required at signup. After 30 days, you must complete a PayU SI Hub mandate (UPI AutoPay, card, or netbanking emandate) to convert to the paid Starter plan at ₹49 per 30-day cycle, or upgrade to a higher tier (Growth ₹199, Pro ₹499, Business ₹1999 — subject to revision per the live pricing page).
All paid plans are recurring monthly. Each successful auto-charge extends your access for one full 30-day cycle. If a renewal charge fails or you do not complete the SI mandate before the free period ends, your account enters "read-only" mode: existing data remains intact and exportable, but you cannot create new invoices, customers, products, or other billable resources until billing is reinstated.
All prices are in Indian Rupees (INR) and are inclusive of applicable GST unless explicitly stated otherwise. We will issue a tax invoice for every successful payment to the email address registered to your account.
We reserve the right to revise pricing, plan limits, or available tiers at any time. Material changes (including price increases) will be communicated by email at least 14 days before they take effect; if you do not accept the change, you may cancel before the effective date and your access continues till the end of your current cycle.
5.Cancellation & No-Refund Policy
You may cancel your subscription at any time from Dashboard → Billing → "Cancel subscription". Cancellation is effective at the end of your current paid cycle — your data remains accessible till that date and you will not be billed again.
Because every plan is month-to-month with the first 30 days completely free, NO REFUNDS are issued for paid cycles, in part or in full, under any circumstances. By choosing to convert from the free period to a paid cycle, you confirm that you have evaluated the Service to your satisfaction and accept this no-refund policy.
Specifically, no refund is issued for: (a) partial use of a billed cycle following cancellation, (b) failure to use the Service during a billed cycle, (c) account suspension under Section 9 (Prohibited Conduct), (d) features being modified, replaced, or removed during a billed cycle, (e) third-party outages, force majeure events, or downtime not exceeding the SLA windows below.
For payment errors traceable to a duplicate charge, technical fault on our side, or a charge after a confirmed cancellation, contact support@yourbill.in within 7 days of the charge — we will reverse the genuine error to the original payment instrument.
6.GSTIN, GST Compliance & Data Accuracy
You warrant that every GSTIN, PAN, business name, address, and bank detail you submit is accurate and lawfully yours to use. Forging or misrepresenting another business's GSTIN — including issuing invoices on behalf of an entity you do not control — is a criminal offence under Section 122 of the CGST Act, 2017 and may attract penalties up to 100% of the tax involved.
While YourBill produces invoices, GSTR-1 JSON exports, and reports designed to comply with the CGST Rules, you are solely responsible for: (a) timely filing of returns with the GSTN portal, (b) payment of taxes, (c) reconciliation of input-tax credit, and (d) any consequence of incorrect data you supplied. We are not liable for penalties, interest, or other adverse outcomes arising from filings made using the Service.
AI-assisted suggestions (HSN/SAC codes, GSTIN-to-business-name lookups) are best-effort and may be inaccurate. You must verify every AI output before relying on it for invoicing or filing.
7.Intellectual Property
The Service, including all source code, designs, trademarks, copy, logo, layout, AI prompts, marketing assets, and the YourBill name, are the exclusive property of YourBill and protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and applicable international treaties. You receive a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own internal business operations during an active subscription only.
You may not, directly or via third parties: (a) copy, reproduce, scrape, decompile, reverse-engineer, or modify the Service; (b) resell, sublicense, or republish any feature; (c) use any automation to extract bulk data beyond the rate limits we publish; (d) build a competing product using insights gained from access to the Service.
Content you create within the Service (your invoices, customer records, product catalogue, etc.) remains your property. By submitting it, you grant YourBill a non-exclusive, royalty-free licence to host, process, transmit, and back up that content solely to operate the Service for you.
8.Acceptable Use
You agree not to use the Service to: issue invoices for transactions that did not occur; commit tax evasion, money laundering, or any offence under the Prevention of Money-Laundering Act, 2002; impersonate another business; transmit viruses, ransomware, or malicious code; probe, scan, or attempt to compromise our infrastructure; circumvent rate limits, plan caps, or the GSTIN uniqueness constraint; or aid any third party in doing the above.
You agree not to upload content that is unlawful, defamatory, obscene, infringing, threatening, or otherwise objectionable, or that violates Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
9.Suspension, Termination & Data Retention on Termination
We may suspend or terminate your account, with or without notice, if (a) you breach these Terms, (b) we have reasonable suspicion of fraud, abuse, or violation of the GSTIN uniqueness rule, (c) we are required to do so by a court order, statutory notice, or law-enforcement request, or (d) the Service is being discontinued.
On termination, your right to access the Service ends. We retain your business and invoice data for a minimum of eight (8) financial years from the date of issue, as required by Section 36 of the CGST Act, 2017 read with Rule 56 of the CGST Rules, 2017 ("period for which records are to be maintained"). You may request export of your data at any time via Dashboard → Profile → "Export". After the statutory retention period elapses we may delete your data without further notice.
Suspension or termination for breach does not entitle you to a refund of any unused subscription period.
10.Service Levels & Availability
We target 99.5% monthly availability of the core invoicing API and dashboard, measured excluding scheduled maintenance windows announced at least 24 hours in advance, and excluding incidents caused by upstream providers (Supabase, PayU, NIC IRP, GSTN portal, OpenAI). The Service is provided "as is" and "as available" — we do not warrant uninterrupted, error-free, or fault-tolerant operation.
11.Limitation of Liability
To the maximum extent permitted by law, in no event will YourBill, its directors, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of (or inability to use) the Service.
Our aggregate liability for any claim arising under these Terms is capped at the total subscription fees you actually paid to us in the twelve (12) months preceding the event giving rise to the claim, or ₹1,000, whichever is greater.
12.Indemnification
You agree to indemnify, defend, and hold harmless YourBill, its officers, directors, employees, and agents from any claim, loss, liability, fine, cost, or expense (including reasonable legal fees) arising out of: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any law, rule, regulation, or third-party right, (d) any content you submit through the Service, or (e) any tax penalty or liability assessed against any party as a consequence of data you supplied.
13.Governing Law & Dispute Resolution
These Terms are governed by the laws of the Republic of India. Any dispute, controversy, or claim arising out of or in relation to these Terms shall first be attempted to be resolved amicably by written notice to support@yourbill.in. Failing amicable resolution within 30 days, disputes shall be subject to the exclusive jurisdiction of the competent courts at Kolkata, West Bengal, India.
If you are a Consumer within the meaning of the Consumer Protection Act, 2019 and choose to file a complaint, the prescribed e-Daakhil online portal at https://edaakhil.nic.in is also available.
14.Notices & Electronic Communications
By signing up, you consent to receive operational, transactional, and account-related communications by email and SMS at the contact details you provided. We will not send marketing communications without your prior opt-in consent. You may withdraw marketing consent at any time via the unsubscribe link or by writing to support@yourbill.in. Operational communications cannot be opted out of while your account is active.
15.Severability & Entire Agreement
If any provision of these Terms is held unenforceable by a court of competent jurisdiction, the remaining provisions remain in full effect. Our failure to enforce any right is not a waiver of that right.
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and YourBill regarding the Service and supersede all prior agreements, whether oral or written.
